1. Eligibility & Account Maintenance
Wholesale accounts are available only to businesses purchasing for resale.
Buyers must maintain a valid state resale certificate (Tax ID) and provide proof of ongoing business operations annually or upon request.
Accounts are subject to periodic review and may be suspended or revoked for inactivity, misuse, or non-compliance.
2. Order Requirements
Minimum Order: Wholesale orders require a minimum purchase of $100 per order.
Case Quantities: Products must be purchased in case or package quantities; packages cannot be broken unless explicitly stated.
Availability: Not all products are available for wholesale. Availability is seasonal and may vary.
Pricing: Wholesale prices are subject to change without prior notice. Confirm pricing at checkout.
3. Payment Terms
All orders must be prepaid at the time of purchase unless prior arrangements have been approved in writing.
Accepted payment methods: Credit/debit cards, ACH transfers, or approved business checks (on file).
Accounts with returned payments or declined charges may be suspended until resolved.
4. Taxes
Sales tax will be charged on orders shipped within Texas unless a valid resale certificate is on file.
Buyers outside Texas are responsible for reporting and remitting applicable taxes in their jurisdiction.
5. Shipping & Delivery
All orders are FOB/FCA San Antonio, Texas (Incoterms 2010). Title and risk of loss transfer upon carrier pick-up.
Shipping costs are estimated based on weight, dimensions, and destination. Oversized or freight shipments may incur additional charges.
Buyers must provide accurate delivery information and ensure accessibility for freight deliveries (e.g., liftgate needs, limited access locations).
International wholesale shipping is not currently available.
6. Returns, Exchanges & Damages
All wholesale sales are final. No refunds will be issued.
Exchanges of unopened, unused items may be permitted within 7 business days at Buyer’s expense (shipping both ways) or for store credit only.
Damaged Shipments:
Inspect all deliveries upon arrival and note damages with the carrier.
Report damages to Seller within 5 business days, including photos of damaged items and packaging.
Retain all packaging for carrier inspection. Failure to report in time may void claims.
7. Intellectual Property & Branding
Buyers may not use Seller’s trademarks, logos, or branded content without prior written consent.
Products may not be rebranded or altered in a way that misrepresents their origin.
8. Restrictions on Resale
Buyers may not resell merchandise on third-party marketplaces (e.g., Amazon, eBay, Walmart.com) without written authorization.
Businesses within a 5-mile radius of our retail store may be restricted from selling certain products.
Unauthorized diversion or resale may result in account termination.
9. Liability & Indemnification
Seller is not liable for indirect, incidental, or consequential damages arising from product use or resale.
Buyer agrees to indemnify and hold Seller harmless against any claims, damages, or legal actions arising from Buyer’s resale or misuse of products.
10. Termination of Account
Seller reserves the right to suspend or terminate any wholesale account at its discretion for violations of these Terms or fraudulent activity.
Inactive accounts may be closed and require reapplication.
11. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Texas (USA).
Any disputes will be resolved exclusively in the state or federal courts located in Bexar County, Texas.
12. Modifications
We reserve the right to update or modify these Terms at any time without prior notice. Continued use of your wholesale account constitutes acceptance of any changes.
